Prior notification of a concentration

(Case M.8535 — Itochu/Toppan Printing/Thung Hua Sinn/TPN Food Packaging)

Candidate case for simplified procedure

On 12 June 2017, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertakings Toppan Printing Co., Ltd (‘Toppan Printing’, Japan), Itochu Corporation (‘Itochu’, Japan) and Thung Hua Sinn Enterprises Co., part of the Thung Hua Sinn group (‘THS’, Thailand) acquire within the meaning of Article 3(4) of the Merger Regulation joint control of the whole of the undertaking TPN Food Packaging Co., Ltd (‘TPN’, Thailand), by way of a purchase of shares. TPN is currently controlled by THS.

The business activities of the undertakings concerned are:

—   for Toppan Printing: development of printing technology,

—   for Itochu Corporation: trading of various products including textile, machinery, metals, minerals, energy, chemicals, food, information and communications, technology, realty, insurance, logistics services, construction and finance,

—   for THS: print and packaging manufacturing,

—   for TPN: currently inactive, following the transaction its activity will be the manufacturing and sale of flexible packaging.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved. Pursuant to the Commission Notice on a simplified procedure for treatment of certain concentrations under the Council Regulation (EC) No 139/2004 (2) it should be noted that this case is a candidate for treatment under the procedure set out in this Notice.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
