Prior notification of a concentration

1.

On 14 October 2009, the Commission received a notification of a proposed concentration pursuant to Article 4 and following a referral pursuant to Article 4(5) of Council Regulation (EC) No 139/2004 (1) by which the undertaking Towers Perrin, Foster & Crosby, Inc. (the US) enters into a full merger within the meaning of Article 3(1)(a) of the Council Regulation with Watson Wyatt Worldwide, Inc. (the US).

The business activities of the undertakings concerned are:

Watson Wyatt is a global consulting firm providing human capital and financial management consulting services, mainly focusing on retirement benefits, pensions administration, investment consulting, human capital services and insurance and financial services consulting,

—

Towers Perrin provides human capital and financial management consulting services in the areas of retirement benefits, human capital services, surveys and insurance and financial services consulting, as well as reinsurance broking services.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of Regulation (EC) No 139/2004. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
