Whereas:
(1) Direktiva Sveta 80/987/EGS z dne 20. oktobra 1980 o varstvu delavcev v primeru plačilne nesposobnosti delodajalca [3] je bila večkrat bistveno spremenjena [4]. Zaradi jasnosti in racionalnosti bi bilo treba navedeno direktivo kodificirati.
(1) Council Directive 80/987/EEC of 20 October 1980 on the protection of employees in the event of the insolvency of their employer [3] has been substantially amended several times [4]. In the interests of clarity and rationality the said Directive should be codified.
(2) Listina Skupnosti o temeljnih socialnih pravicah delavcev, ki je bila sprejeta 9. decembra 1989, v točki 7 določa, da mora dokončna vzpostavitev notranjega trga voditi k izboljšanju življenjskih in delovnih razmer delavcev v Skupnosti in da mora to izboljšanje po potrebi zajemati izpopolnjevanje določenih vidikov delovnega prava, kot so postopki kolektivnega odpuščanja in postopki v zvezi s stečaji.
(2) The Community Charter of Fundamental Social Rights for Workers adopted on 9 December 1989 states, in point 7, that the completion of the internal market must lead to an improvement in the living and working conditions of workers in the Community and that this improvement must cover, where necessary, the development of certain aspects of employment regulations such as procedures for collective redundancies and those regarding bankruptcies.
(3) V primeru plačilne nesposobnosti delodajalca je treba zavarovati delavce in jim zagotoviti minimalno raven zaščite, zlasti jamčiti izplačilo njihovih neporavnanih terjatev ter, kakor tudi hkrati upoštevati, da mora biti gospodarski in socialni razvoj v Skupnosti uravnotežen. V ta namen bi morale države članice ustanoviti organ, ki zagotavlja plačilo neporavnanih terjatev delavcev.
(3) It is necessary to provide for the protection of employees in the event of the insolvency of their employer and to ensure a minimum degree of protection, in particular in order to guarantee payment of their outstanding claims, while taking account of the need for balanced economic and social development in the Community. To this end, the Member States should establish a body which guarantees payment of the outstanding claims of the employees concerned.
(4) Da bi zagotovili enakovredno varstvo delavcev, bi bilo treba opredeliti plačilno nesposobnost v luči zakonodajnih trendov v državah članicah in v koncept plačilne nesposobnosti in poleg likvidacije delodajalca vključiti tudi druge postopke poravnave. Z namenom določiti odgovornost jamstvene ustanove bi morale v tem kontekstu države članice omogočiti, da se v primerih, ko ima plačilna nesposobnost za posledico več postopkov poravnave, nastali položaj obravnava v enem samem postopku.
(4) In order to ensure equitable protection for the employees concerned, the state of insolvency should be defined in the light of the legislative trends in the Member States and that concept should also include insolvency proceedings other than liquidation. In this context, Member States should, in order to determine the liability of the guarantee institution, be able to lay down that where an insolvency situation results in several insolvency proceedings, the situation is to be treated as a single insolvency procedure.
(5) Zagotoviti bi bilo treba, da delavci, o katerih govorijo Direktiva 97/81/ES z dne 15. decembra 1997 o okvirnem sporazumu o delu s krajšim delovnim časom, ki so ga sklenile UNICE, CEEP in ETUC [5], Direktiva Sveta 1999/70/ES z dne 28. junija 1999 o okvirnem sporazumu o delu za določen čas, ki so ga sklenile ETUC, UNICE in CEEP [6] in Direktiva Sveta 91/383/EGS z dne 25. junija 1991 o dopolnitvi ukrepov za spodbujanje izboljšav na področju varnosti in zdravja pri delu za delavce z delovnim razmerjem za določen čas ali z začasnim delovnim razmerjem [7] niso izključeni iz področja uporabe te direktive.
(5) It should be ensured that the employees referred to in Council Directive 97/81/EC of 15 December 1997 concerning the Framework Agreement on part-time work concluded by UNICE, CEEP and the ETUC [5], Council Directive 1999/70/EC of 28 June 1999 concerning the framework agreement on fixed-term work concluded by the ETUC, UNICE and CEEP [6] and Council Directive 91/383/EEC of 25 June 1991 supplementing the measures to encourage improvements in the safety and health at work of workers with a fixed-duration employment relationship or a temporary employment relationship [7] are not excluded from the scope of this Directive.
(6) Da bi zagotovili pravno varnost za delavce v primeru plačilne nesposobnosti podjetij, ki opravljajo svoje dejavnosti v več državah članicah, in da bi okrepili pravice delavcev v skladu s prakso Sodišča Evropskih skupnosti, bi bilo treba predvideti določbe, ki izrecno določajo, katera ustanova je odgovorna za poravnavo terjatev za plačila v teh primerih, in ki določajo kot cilj sodelovanja med pristojnimi upravnimi organi držav članic čim hitrejšo poravnavo neporavnanih terjatev delavcev. Poleg tega je treba zagotoviti pravilno izvajanje pomembnih določb s tem, da se predvidi sodelovanje med pristojnimi upravnimi organi v državah članicah.
(6) In order to ensure legal certainty for employees in the event of insolvency of undertakings pursuing their activities in a number of Member States, and to strengthen employees’ rights in line with the established case-law of the Court of Justice of the European Communities, provisions should be laid down which expressly state which institution is responsible for meeting pay claims in these cases and establish as the aim of cooperation between the competent administrative authorities of the Member States the early settlement of employees’ outstanding claims. Furthermore it is necessary to ensure that the relevant arrangements are properly implemented by making provision for collaboration between the competent administrative authorities in the Member States.
(7) Države članice lahko določijo omejitve glede odgovornosti jamstvenih ustanov, ki morajo biti v skladu s socialnim ciljem te direktive, in upoštevajo različne ravni terjatev.
(7) Member States may set limitations on the responsibility of the guarantee institutions. Those limitations must be compatible with the social objective of the Directive and may take into account the different levels of claims.
(8) Za lažjo določitev postopka poravnave v primeru plačilne nesposobnosti, zlasti v čezmejnih položajih, bi bilo treba določiti, da države članice obvestijo Komisijo in druge države članice o vrstah postopkov poravnave, v katerih je potrebno posredovanje jamstvenih ustanov.
(8) In order to make it easier to identify insolvency proceedings, in particular in situations with a cross-border dimension, provision should be made for the Member States to notify the Commission and the other Member States about the types of insolvency proceedings which give rise to intervention by the guarantee institution.
(9) Ker ciljev te direktive države članice ne morejo zadovoljivo doseči in jih je lažje doseči na ravni Skupnosti, lahko Skupnost sprejme ukrepe v skladu z načelom subsidiarnosti iz člena 5 Pogodbe. V skladu z načelom sorazmernosti iz navedenega člena ta direktiva ne prekoračuje tistega, kar je potrebno za dosego teh ciljev.
(9) Since the objective of the action to be taken cannot be sufficiently achieved by the Member States and can therefore be better achieved at Community level, the Community may adopt measures, in accordance with the principle of subsidiarity as set out in Article 5 of the Treaty. In accordance with the principle of proportionality, as set out in that Article, this Directive does not go beyond what is necessary in order to achieve that objective.
(10) Komisija bi morala predložiti Evropskemu parlamentu in Svetu poročilo o izvajanju in uporabi te direktive, zlasti kar zadeva nove oblike delovnih razmerij, ki se pojavljajo v državah članicah.
(10) The Commission should submit to the European Parliament and the Council a report on the implementation and application of this Directive in particular as regards the new forms of employment emerging in the Member States.
(11) Ta direktiva ne bi smela posegati v obveznosti držav članic glede rokov za prenos v nacionalno pravo in začetka uporabe direktiv, ki so določeni v delu C Priloge I –

POGLAVJE I
CHAPTER I
PODROČJE UPORABE IN OPREDELITVE
SCOPE AND DEFINITIONS
Člen 1
Article 1
1. Ta direktiva se uporablja za terjatve delavcev, ki izhajajo iz pogodb o zaposlitvi ali delovnih razmerij, do delodajalcev, ki so plačilno nesposobni v smislu člena 2(1).
1. This Directive shall apply to employees’ claims arising from contracts of employment or employment relationships and existing against employers who are in a state of insolvency within the meaning of Article 2(1).
2. Države članice lahko izjemoma izključijo terjatve določenih kategorij delavcev iz področja uporabe te direktive na podlagi obstoja drugih oblik jamstva, če se ugotovi, da te osebam zagotavljajo enako raven varstva, kot izhaja iz te direktive.
2. Member States may, by way of exception, exclude claims by certain categories of employee from the scope of this Directive, by virtue of the existence of other forms of guarantee if it is established that these offer the persons concerned a degree of protection equivalent to that resulting from this Directive.

3. Where such provision already applies in their national legislation, Member States may continue to exclude from the scope of this Directive:
(a) hišne pomočnike/ce, zaposlene pri fizičnih osebah;
(a) domestic servants employed by a natural person;
(b) ribiče, plačane po deležu ulova.

Člen 2
Article 2
1. Za namene te direktive se šteje, da je delodajalec plačilno nesposoben, če je bila podana zahteva za sprožitev kolektivnih postopkov, ki temeljijo na plačilni nesposobnosti delodajalca, določenimi z zakoni in drugimi predpisi države članice, in vključuje delni ali popolni odvzem delodajalčevih sredstev ter imenovanje likvidacijskega upravitelja ali osebe, ki opravlja podobno nalogo, in ko je organ, ki je pristojen v skladu z navedenimi določbami:
1. For the purposes of this Directive, an employer shall be deemed to be in a state of insolvency where a request has been made for the opening of collective proceedings based on insolvency of the employer, as provided for under the laws, regulations and administrative provisions of a Member State, and involving the partial or total divestment of the employer’s assets and the appointment of a liquidator or a person performing a similar task, and the authority which is competent pursuant to the said provisions has:
(a) odločil, da se sproži postopek; ali
(a) either decided to open the proceedings; or
(b) ugotovil, da je podjetje ali obrat delodajalca dokončno zaprto in da razpoložljivo premoženje ne zadošča, da bi bila upravičena sprožitev postopka.
(b) established that the employer’s undertaking or business has been definitively closed down and that the available assets are insufficient to warrant the opening of the proceedings.
2. Ta direktiva ne vpliva na nacionalno zakonodajo, kar zadeva opredelitev izrazov "delavec", "delodajalec", "plačilo", "pravica, ki zagotavlja takojšnjo upravičenost" in "pravica, ki zagotavlja upravičenost v prihodnosti".
2. This Directive is without prejudice to national law as regards the definition of the terms "employee", "employer", "pay", "right conferring immediate entitlement" and "right conferring prospective entitlement".

However, the Member States may not exclude from the scope of this Directive:
(a) delavcev, zaposlenih za krajši delovni čas v skladu z Direktivo 97/81/ES;
(a) part-time employees within the meaning of Directive 97/81/EC;
(b) delavcev s pogodbo o zaposlitvi za določen čas v skladu z Direktivo 1999/70/ES;
(b) employees with a fixed-term contract within the meaning of Directive 1999/70/EC;
(c) delavcev v začasnem delovnem razmerju v skladu s členom 1(2) Direktive 91/383/EGS.
(c) employees with a temporary employment relationship within the meaning of Article 1(2) of Directive 91/383/EEC.
3. Države članice ne smejo določiti minimalnega trajanja pogodbe o zaposlitvi ali delovnega razmerja, da bi bili delavci upravičeni do terjatev v skladu s to direktivo.
3. Member States may not set a minimum duration for the contract of employment or the employment relationship in order for employees to qualify for claims under this Directive.
4. Ta direktiva ne preprečuje državam članicam, da področje varstva delavcev razširijo na druge posamezne primere plačilne nesposobnosti, na primer take, ko so plačila dejansko trajno zaustavljena, ki se ugotovijo z drugimi postopki, kot so navedeni v odstavku 1, določenimi z nacionalno zakonodajo.
4. This Directive does not prevent Member States from extending employee protection to other situations of insolvency, for example where payments have been de facto stopped on a permanent basis, established by proceedings different from those mentioned in paragraph 1 as provided for under national law.
Vendar pa se s takimi postopki ne ustvari obveznost jamstva za ustanove drugih držav članic v primerih, navedenih v poglavju IV.
Such procedures shall not however create a guarantee obligation for the institutions of the other Member States in the cases referred to in Chapter IV.
POGLAVJE II
CHAPTER II
PREDPISI O JAMSTVENIH USTANOVAH
PROVISIONS CONCERNING GUARANTEE INSTITUTIONS

Države članice sprejmejo potrebne ukrepe, da zagotovijo, da jamstvene ustanove, ob upoštevanju člena 4, jamčijo plačilo neporavnanih terjatev delavcev, ki izhajajo iz pogodb o zaposlitvi ali delovnih razmerij, ki vključujejo, kadar to zahteva nacionalna zakonodaja, odpravnino ob prenehanju delovnega razmerja.
Member States shall take the measures necessary to ensure that guarantee institutions guarantee, subject to Article 4, payment of employees’ outstanding claims resulting from contracts of employment or employment relationships, including, where provided for by national law, severance pay on termination of employment relationships.
Terjatve, ki jih prevzamejo jamstvene ustanove, so neporavnane terjatve za plačila, vezane na obdobje pred in/ali, kot je ustrezno, po danem datumu, ki ga določijo države članice.
The claims taken over by the guarantee institution shall be the outstanding pay claims relating to a period prior to and/or, as applicable, after a given date determined by the Member States.

Article 4
1. Države članice imajo možnost, da omejijo obveznost jamstvenih ustanov iz člena 3.
1. Member States shall have the option to limit the liability of the guarantee institutions referred to in Article 3.
2. Kadar države članice izkoristijo možnost iz odstavka 1, morajo navesti trajanje obdobja, za katero mora jamstvena ustanova kriti neporavnane terjatve. Vendar pa to obdobje ne sme biti krajše od obdobja, ki zajema nadomestilo za zadnje tri mesece delovnega razmerja pred in/ali po dnevu iz člena 3(2).
2. If Member States exercise the option referred to in paragraph 1, they shall specify the length of the period for which outstanding claims are to be met by the guarantee institution. However, this may not be shorter than a period covering the remuneration of the last three months of the employment relationship prior to and/or after the date referred to in the second paragraph of Article 3.
Države članice lahko vključijo to minimalno obdobje treh mesecev v priporočljivo obdobje, ki ni krajše od šestih mesecev.
Member States may include this minimum period of three months in a reference period with a duration of not less than six months.
Države članice, katerih priporočljivo obdobje ni krajše od 18 mesecev, lahko omejijo obdobje, za katero jamstvena ustanova krije neporavnane obveznosti, na osem tednov. V tem primeru se za izračun minimalnega obdobja uporabijo obdobja, ki so za delavca najugodnejša.
Member States having a reference period of not less than 18 months may limit the period for which outstanding claims are met by the guarantee institution to eight weeks. In this case, those periods which are most favourable to the employee shall be used for the calculation of the minimum period.
3. Države članice lahko določijo zgornjo mejo za plačila, ki jih opravi jamstveni sklad. Te zgornje meje ne smejo biti nižje od ravni, ki je s socialnega vidika skladna s socialnim ciljem te direktive.
3. Member States may set ceilings on the payments made by the guarantee institution. These ceilings must not fall below a level which is socially compatible with the social objective of this Directive.
Kadar države članice izkoristijo to možnost, morajo obvestiti Komisijo o metodah, ki so jih uporabile za določitev zgornje meje.
If Member States exercise this option, they shall inform the Commission of the methods used to set the ceiling.
Člen 5
Article 5
Za organizacijo, financiranje in delovanje jamstvenih ustanov države članice določijo podrobna pravila, ki morajo upoštevati predvsem naslednja načela:
Member States shall lay down detailed rules for the organisation, financing and operation of the guarantee institutions, complying with the following principles in particular:
(a) premoženje sklada mora biti neodvisno od delodajalčevih obratnih sredstev in nedostopno za stečajni postopek;
(a) the assets of the institutions must be independent of the employers’ operating capital and be inaccessible to proceedings for insolvency;
(b) delodajalec prispeva k financiranju sklada, razen če financiranja v celoti ne prevzamejo državni organi;
(b) employers must contribute to financing, unless it is fully covered by the public authorities;
(c) obveznosti sklada ne smejo biti odvisne od tega, ali se obveznosti za njegovo financiranje izpolnjujejo ali ne.
(c) the institutions’ liabilities must not depend on whether or not obligations to contribute to financing have been fulfilled.
POGLAVJE III
CHAPTER III

PROVISIONS CONCERNING SOCIAL SECURITY

Države članice se lahko odločijo, da se členi 3, 4 in 5 ne uporabljajo za prispevke obveznega socialnega zavarovanja ali dodatnega podjetniškega ali medpodjetniškega pokojninskega zavarovanja izven obveznega socialnega zavarovanja.
Member States may stipulate that Articles 3, 4 and 5 shall not apply to contributions due under national statutory social security schemes or under supplementary occupational or inter-occupational pension schemes outside the national statutory social security schemes.

Za primer, ko delodajalec zavarovalnim ustanovam v okviru državnega sistema socialnega zavarovanja ne plačuje obveznih prispevkov, še preden postane plačilno nesposoben, države članice sprejmejo ukrepe, s katerimi zagotovijo, da to ne prizadene delavčeve upravičenosti do nadomestil pri teh zavarovalnih ustanovah do tiste mere, do katere so bili prispevki delavcev obračunani pri viru izplačevanja njegovih dohodkov.
Member States shall take the measures necessary to ensure that non-payment of compulsory contributions due from the employer, before the onset of his insolvency, to their insurance institutions under national statutory social security schemes does not adversely affect employees’ benefit entitlement in respect of these insurance institutions in so far as the employees’ contributions have been deducted at source from the remuneration paid.

Države članice zagotovijo potrebne ukrepe za varstvo interesov delavcev in oseb, ki so že zapustili delodajalčevo podjetje ali dejavnost na dan, ko ta postane plačilno nesposoben, v zvezi s priznano ali bodočo upravičenostjo do starostnih prejemkov, vključno z družinskimi prejemki, iz naslova dodatnega pokojninskega podjetniškega ali medpodjetniškega zavarovanja izven obveznega socialnega zavarovanja.
Member States shall ensure that the necessary measures are taken to protect the interests of employees and of persons having already left the employer’s undertaking or business at the date of the onset of the employer’s insolvency in respect of rights conferring on them immediate or prospective entitlement to old-age benefits, including survivors’ benefits, under supplementary occupational or inter-occupational pension schemes outside the national statutory social security schemes.

DOLOČBE, KI SE NANAŠAJO NA NADNACIONALNE SITUACIJE
PROVISIONS CONCERNING TRANSNATIONAL SITUATIONS

1. Kadar je podjetje, ki opravlja dejavnosti na ozemljih vsaj dveh držav članic, plačilno nesposobno v skladu s členom 2(1), je za pokrivanje neporavnanih terjatev delodajalca odgovorna ustanova v državi članici, na ozemlju katere delavci opravljajo delo ali ga običajno opravljajo.
1. If an undertaking with activities in the territories of at least two Member States is in a state of insolvency within the meaning of Article 2(l), the institution responsible for meeting employees’ outstanding claims shall be that in the Member State in whose territory they work or habitually work.
2. Obseg pravic delavcev se določi z zakonom, ki ureja pristojno jamstveno ustanovo.
2. The extent of employees’ rights shall be determined by the law governing the competent guarantee institution.
3. Države članice sprejmejo potrebne ukrepe, da zagotovijo, da se v primerih iz odstavka 1 tega člena upoštevajo odločitve, sprejete v zvezi s postopki poravnave v primerih plačilne nesposobnosti iz člena 2(1), za katere se zaprosi v drugi državi članici, ko se določa plačilna nesposobnost delodajalca v skladu s to direktivo.
3. Member States shall take the measures necessary to ensure that, in the cases referred to in paragraph 1 of this Article, decisions taken in the context of insolvency proceedings referred to in Article 2(1), which have been requested in another Member State, are taken into account when determining the employer’s state of insolvency within the meaning of this Directive.

1. Za namene izvajanja člena 9 predvidijo države članice izmenjavo pomembnih podatkov med njihovimi pristojnimi upravnimi organi in/ali jamstvenimi ustanovami iz člena 3(1), pri čemer morajo zlasti omogočiti obveščanje jamstvene ustanove, ki je odgovorna za pokrivanje neporavnanih terjatev delavcev.
1. For the purposes of implementing Article 9, Member States shall make provision for the sharing of relevant information between their competent administrative authorities and/or the guarantee institutions mentioned in the first paragraph of Article 3, making it possible in particular to inform the guarantee institution responsible for meeting the employees’ outstanding claims.
2. Države članice sporočijo Komisiji in drugim državam članicam natančne podatke o svojih pristojnih upravnih organih in/ali jamstvenih ustanovah. Komisija poskrbi, da so te informacije javno dostopne.
2. Member States shall notify the Commission and the other Member States of the contact details of their competent administrative authorities and/or guarantee institutions. The Commission shall make that information publicly accessible.
POGLAVJE V
CHAPTER V
SPLOŠNE IN KONČNE DOLOČBE
GENERAL AND FINAL PROVISIONS
Člen 11

Direktiva ne vpliva na pravico držav članic, da uporabljajo ali uvajajo zakone in druge predpise, ki so za delavce ugodnejši.
This Directive shall not affect the option of Member States to apply or introduce laws, regulations or administrative provisions which are more favourable to employees.
Izvajanje te direktive ne sme biti v nobenem primeru razlog za poslabšanje glede na obstoječi položaj v državah članicah in v zvezi s splošno ravnijo varstva delavcev na področju, ki ga ureja ta direktiva.
Implementation of this Directive shall not under any circumstances be sufficient grounds for a regression in relation to the current situation in the Member States and in relation to the general level of protection of employees in the area covered by it.

Direktiva ne vpliva na možnost držav članic:
This Directive shall not affect the option of Member States:
(a) da sprejmejo ukrepe za preprečevanje zlorab;
(a) to take the measures necessary to avoid abuses;
(b) da odklonijo ali zmanjšajo obveznosti iz člena 3 ali obvezno jamstvo iz člena 7, če se izkaže izpolnitev obveznosti neupravičena zaradi posebnih povezav med delavcem in delodajalcem ali zaradi njunih skupnih interesov, ki lahko vodijo do tajnega dogovora med njima;
(b) to refuse or reduce the liability referred to in the first paragraph of Article 3 or the guarantee obligation referred to in Article 7 if it appears that fulfilment of the obligation is unjustifiable because of the existence of special links between the employee and the employer and of common interests resulting in collusion between them;

(c) to refuse or reduce the liability referred to in the first paragraph of Article 3 or the guarantee obligation referred to in Article 7 in cases where the employee, on his or her own or together with his or her close relatives, was the owner of an essential part of the employer’s undertaking or business and had a considerable influence on its activities.

Države članice obvestijo Komisijo in druge države članice o vrstah nacionalnih postopkov v primeru plačilne nesposobnosti, ki sodijo v področje uporabe te direktive, in o morebitnih spremembah v zvezi z njo.
Member States shall notify the Commission and the other Member States of the types of national insolvency proceedings falling within the scope of this Directive, and of any amendments relating thereto.
Komisija objavi ta obvestila v Uradnem listu Evropske Unije.
The Commission shall publish these communications in the Official Journal of the European Union.

Member States shall communicate to the Commission the text of the laws, regulations and administrative provisions which they adopt in the field covered by this Directive.

Komisija predloži Evropskemu parlamentu in Svetu najpozneje do 8. oktobra 2010 poročilo o izvajanju in uporabi členov 1 do 4, členov 9 in 10, drugega odstavka člena 11, točke (c) člena 12 ter členov 13 in 14 v državah članicah.
By 8 October 2010 at the latest, the Commission shall submit to the European Parliament and to the Council a report on the implementation and application in the Member States of Articles 1 to 4, 9 and 10, Article 11, second paragraph, Article 12, point (c), and Articles 13 and 14.

Direktiva 80/987/EGS, kakor je bila spremenjena z akti, navedenimi v Prilogi I, je razveljavljena, brez poseganja v obveznosti držav članic glede rokov za prenos v nacionalno pravo in začetka uporabe direktiv, ki so določeni v delu C Priloge I.
Directive 80/987/EEC, as amended by the acts listed in Annex I, is repealed, without prejudice to the obligations of the Member States relating to the time-limits for transposition into national law and application of the Directives set out in Annex I, Part C.
Sklici na razveljavljeno direktivo se upoštevajo kot sklici na to direktivo in se berejo v skladu s korelacijsko tabelo v Prilogi II.
References to the repealed Directive shall be construed as references to this Directive and shall be read in accordance with the correlation table in Annex II.
