Having regard to the Treaty establishing the European Community, and in particular Article 100a thereof,

Acting in accordance with the procedure laid down in Article 189b of the Treaty (3),

uwzględniając wniosek Komisji [1],

1. Whereas the disparities between national legislations on contracts relating to the purchase of the right to use one or more immovable properties on a timeshare basis are likely to create barriers to the proper operation of the internal market and distortions of competition and lead to the compartmentalization of national markets;

2. Whereas the aim of this Directive is to establish a minimum basis of common rules on such matters which will make it possible to ensure that the internal market operates properly and will thereby protect purchasers; whereas it is sufficient for those rules to cover contractual transactions only with regard to those aspects that relate to information on the constituent parts of contracts, the arrangements for communicating such information and the procedures and arrangements for cancellation and withdrawal; whereas the appropriate instrument to achieve that aim is a Directive; whereas this Directive is therefore consistent with the principle of subsidiarity;

3. Whereas the legal nature of the rights which are the subject of the contracts covered by this Directive varies considerably from one Member State to another; whereas reference should therefore be made in summary form to those variations, giving a sufficiently broad definition of such contracts, without thereby implying harmonization within the Community of the legal nature of the rights in question;

4. Whereas this Directive is not designed to regulate the extent to which contracts for the use of one or more immovable properties on a timeshare basis may be concluded in Member States or the legal basis for such contracts;

5. Whereas, in practice, contracts relating to the purchase of the right to use one or more immovable properties on a timeshare basis differ from tenancy agreements; whereas that difference can be seen from, inter alia, the means of payment;

2) Celem niniejszej dyrektywy jest ustanowienie minimalnej podstawy wspólnych reguł w danej dziedzinie, aby umożliwić właściwe funkcjonowanie rynku wewnętrznego, a tym samym ochronę nabywców; wystarczające byłoby, aby reguły te dotyczyły tylko określonych aspektów zawarcia umowy, a mianowicie informacji odnoszących się do elementów składowych umowy oraz uzgodnień dotyczących przekazywania tych informacji, jak i do procedur unieważnienia umowy lub odstąpienia od niej; dyrektywa jest odpowiednim instrumentem do osiągnięcia tego celu; niniejsza dyrektywa jest zatem zgodna z zasadą pomocniczości.

6. Whereas it may be seen from the market that hotels, residential hotels and other similar residential tourist premises are involved in contractual transactions similar to those which have made this Directive necessary;

3) Charakter praw będących przedmiotem umów objętych niniejszą dyrektywą różni się znacznie w poszczególnych Państwach Członkowskich; tym samym należałoby odnieść się w syntetyczny sposób do tych różnic, formułując odpowiednio szeroką definicję takich umów, nie nakładając jednak obowiązku ujednolicenia charakteru praw, o których mowa, we Wspólnocie.

7. Whereas it is necessary to avoid any misleading or incomplete details in information concerned specifically with the sale of the rights to use one or more immovable properties on a timeshare basis; whereas such information should be supplemented by a document which must be made available to anyone who requests it; whereas the information therein must constitute part of the contract for the purchase of the right to use one or more immovable properties on a timeshare basis;

4) Zadaniem niniejszej dyrektywy nie jest regulacja zakresu przedmiotowego umów o korzystaniu z nieruchomości w oznaczonym czasie, zawieranych w Państwach Członkowskich, ani też ustalenie podstawy prawnej takich umów.

8. Whereas, in order to give purchasers a high level of protection and in view of the specific characteristics of systems for using immovable properties on a timeshare basis, contracts for the purchase of the right to use one or more immovable properties on a timeshare basis must include certain minimal items;

5) W praktyce umowy odnoszące się do nabywania praw do korzystania z jednej lub kilku nieruchomości w oznaczonym czasie różnią się od umów dzierżawy lub najmu, a różnica ta wyraża się między innymi w formach zapłaty.

9. Whereas, with a view to establishing effective protection for purchasers in this field, it is necessary to stipulate minimum obligations with which vendors must comply vis-à-vis purchasers;

6) Praktyki rynkowe dowodzą, że hotele i lokale przeznaczone do zakwaterowania turystów oraz ośrodki turystyczne pełniące podobną funkcję objęte są transakcjami podobnymi do tych, ze względu na które uznano konieczność stworzenia niniejszej dyrektywy.

10. Whereas the contract for the purchase of the right to use one or more immovable properties on a timeshare basis must be drawn up in the official language or one of the official languages of the Member State in which the purchaser is resident or in the official language or one of the official languages of the Member State of which he is a national which must be one of the official languages of the Community; whereas, however, the Member State in which the purchaser is resident may require that the contract be drawn up in its language or its languages which must be an official language or official languages of the Community; whereas provision should be made for a certified translation of each contract for the purposes of the formalities to be completed in the Member State in which the relevant property is situated;

7) Należy unikać mylących, niepełnych informacji, w szczególności związanych ze zbyciem praw do korzystania z jednej lub kilku nieruchomości w oznaczonym czasie; informacje takie powinny być uzupełniane w formie dokumentów pisemnych, dostępnych dla wszystkich, którzy tego zażądają; informacje te muszą stanowić część składową umowy dotyczącej korzystania z jednej lub kilku nieruchomości w oznaczonym czasie.

11. Whereas to give the purchaser the chance to realize more fully what his obligations and rights under the contract are he should be allowed a period during which he may withdraw from the contract without giving reasons since the property in question is often situated in a State and subject to legislation which are different from his own;

8) Dla zapewnienia nabywcom wysokiego poziomu ochrony przy uwzględnieniu specyficznych cech systemu korzystania z jednej lub kilku nieruchomości w oznaczonym czasie umowy te muszą zawierać pewne elementy minimalne.

12. Whereas the requirement on the vendor's part that advance payments be made before the end of the period during which the purchaser may withdraw without giving reasons may reduce the purchaser's protection; whereas, therefore, advance payments before the end of that period should be prohibited;

9) Dla ustanowienia skutecznego systemu ochrony nabywców konieczne jest dokładne ustalenie zobowiązań minimalnych, których zbywca musi przestrzegać w stosunku do nabywcy.

13. Whereas in the event of cancellation of or withdrawal from a contract for the purchase of the right to use one or more immovable properties on a timeshare basis the price of which is entirely or partly covered by credit granted to the purchaser by the vendor or by a third party on the basis of an agreement concluded between that third party and the vendor, it should be provided that the credit agreement should be cancelled without penalty;

10) Umowa o nabyciu praw do korzystania z jednej lub kilku nieruchomości w oznaczonym czasie musi być sporządzona w języku urzędowym lub jednym z języków urzędowych Państwa Członkowskiego, którego nabywca jest rezydentem, lub w jednym z urzędowych języków Państwa Członkowskiego, którego jest on obywatelem, a język ten musi być urzędowym językiem Wspólnoty; jednakże Państwo Członkowskie, którego nabywca jest rezydentem, może wymagać, aby umowy były sporządzane w języku lub językach Wspólnoty; należy ustanowić wymóg posiadania uwierzytelnionego tłumaczenia każdej umowy do celów formalności dokonywanych w Państwie Członkowskim, na terenie którego położona jest nieruchomość.

14. Whereas there is a risk, in certain cases, that the consumer may be deprived of the protection provided for in this Directive if the law of a non-Member State is specified as the law applicable to the contract; whereas this Directive should therefore include provisions intended to obviate that risk;

11) Dla pełnego zapoznania nabywcy z jego prawami i obowiązkami wynikającymi z umowy, zważywszy, że nieruchomość często znajduje się na terenie innego państwa i podlega uregulowaniom prawnym państwa innego niż to, z którego pochodzi nabywca, należy zagwarantować nabywcy odpowiedni okres do skorzystania z prawa odstąpienia od umowy bez podania jakiejkolwiek przyczyny.

15. Whereas it is for the Member States to adopt measures to ensure that the vendor fulfils his obligations,

12) Wymaganie przez zbywcę, aby przed końcem okresu, w którym nabywca może skorzystać z prawa do odstąpienia bez podania przyczyny, wpłacał jakiekolwiek zaliczki na poczet umowy, zagraża interesom nabywcy; należy zatem zabronić wpłacania zaliczek przed końcem tego okresu.

HAVE ADOPTED THIS DIRECTIVE:

13) W przypadku unieważnienia umowy lub odstąpienia od umowy dotyczącej nabycia praw do korzystania z jednej lub kilku nieruchomości w oznaczonym czasie, gdy cena została całkowicie lub częściowo pokryta dzięki kredytowi udzielonemu przez zbywcę nieruchomości lub stronę trzecią, na podstawie umowy zawartej między osobą trzecią a zbywcą, należy zastrzec, że umowa pożyczki rozwiązywana jest bez obowiązku zapłacenia kary pieniężnej.

14) W niektórych przypadkach istnieje ryzyko, że konsument może zostać pozbawiony minimalnej ochrony, jaką zapewnia mu niniejsza dyrektywa, gdy prawo państwa nienależące do Wspólnoty zostanie uznane za prawo właściwe dla danej umowy; wymaga się zatem od Państw Członkowskich wprowadzenia stosownych przepisów mających na celu wyeliminowanie tego rodzaju zagrożenia.

15) Państwa Członkowskie podejmą środki, które umożliwią zbywcy wywiązanie się ze swoich zobowiązań,

Article 1

PRZYJMUJĄ NINIEJSZĄ DYREKTYWĘ:

The purpose of this Directive shall be to approximate the laws, regulations and administrative provisions of the Member States on the protection of purchasers in respect of certain aspects of contracts relating directly or indirectly to the purchase of the right to use one or more immovable properties on a timeshare basis.

Artykuł 1

This Directive shall cover only those aspects of the above provisions concerning contractual transactions that relate to:

Celem niniejszej dyrektywy jest zbliżenie przepisów ustawowych, wykonawczych i administracyjnych Państw Członkowskich w sprawie ochrony nabywców, w odniesieniu do pewnych aspektów umów dotyczących bezpośrednio lub pośrednio nabywania praw do korzystania z jednej lub kilku nieruchomości w oznaczonym czasie.

- information on the constituent parts of a contract and the arrangements for the communication of that information,

Niniejsza dyrektywa dotyczy tylko tych aspektów wyżej wymienionych przepisów, które odnoszą się do zawarcia umowy, a które związane są z:

- the procedures and arrangements for cancellation and withdrawal.

- informacjami na temat elementów składowych umowy oraz ustaleniami dotyczącymi przekazywania tych informacji,

With due regard to the general rules of the Treaty, the Member States shall remain competent for other matters, inter alia determination of the legal nature of the rights which are the subject of the contracts covered by this Directive.

- procedurami i ustaleniami dotyczącymi unieważnienia umowy lub odstąpienia od umowy.

Przy uwzględnieniu ogólnych zasad Traktatu Państwa Członkowskie pozostają właściwe w innych sprawach, między innymi w kwestii określenia charakteru praw będących przedmiotem umów objętych niniejszą dyrektywą.

Article 2

Artykuł 2

For the purposes of this Directive:

Do celów niniejszej dyrektywy:

- 'contract relating directly or indirectly to the purchase of the right to use one or more immovable properties on a timeshare basis`, hereinafter referred to as 'contract`, shall mean any contract or group of contracts concluded for at least three years under which, directly or indirectly, on payment of a certain global price, a real property right or any other right relating to the use of one or more immovable properties for a specified or specifiable period of the year, which may not be less than one week, is established or is the subject of a transfer or an undertaking to transfer,

- "umowa dotycząca pośrednio lub bezpośrednio nabywania praw do korzystania z jednej lub kilku nieruchomości w oznaczonym czasie", w dalszej części dyrektywy zwana "umową" oznacza jakąkolwiek umowę lub grupę umów zawartych na przynajmniej trzy lata, na podstawie której, pośrednio lub bezpośrednio, po uiszczeniu pewnej całkowitej opłaty, prawo rzeczowe własności lub jakiekolwiek inne prawo do korzystania z jednej lub kilku nieruchomości, w określonym lub pozostającym do określenia okresie w roku, który to okres nie może być krótszy niż jeden tydzień, zostaje ustanowione, lub jest przedmiotem przeniesienia bądź zobowiązania do przeniesienia prawa, o którym mowa,

- 'immovable property` shall mean any building or part of a building for use as accommodation to which the right which is the subject of the contract relates,

- "nieruchomość" oznacza jakikolwiek budynek lub część budynku do użytku mieszkalnego, do którego odnosi się prawo będące przedmiotem umowy,

- 'vendor` shall mean any natural or legal person who, acting in transactions covered by this Directive and in his professional capacity, establishes, transfers or undertakes to transfer the right which is the subject of the contract,

- "zbywca" oznacza osobę fizyczną lub prawną, która, działając w ramach transakcji objętych niniejszą dyrektywą oraz w ramach swej działalności zawodowej, ustanawia, przenosi lub zobowiązuje się do przeniesienia prawa będącego przedmiotem umowy,

- 'purchaser` shall mean any natural person who, acting in transactions covered by this Directive, for purposes which may be regarded as being outwith his professional capacity, has the right which is the subject of the contract transferred to him or for whom the right which is the subject of the contract is established.

- "nabywca" oznacza każdą osobę fizyczną, która, działając w ramach transakcji objętych niniejszą dyrektywą, do celów której mogą być one uznawane za pozostające bez związku z jej działalnością zawodową, nabywa prawo będące przedmiotem niniejszej umowy, lub na rzecz której to prawo zostaje ustanowione.

Artykuł 3

Article 3

1. Państwa Członkowskie ustanawiają przepisy w swoich ustawodawstwach nakładające na zbywcę obowiązek dostarczenia każdej osobie zwracającej się o informacje na temat nieruchomości odpowiednich dokumentów, które, poza ogólnym opisem tej nieruchomości, zawierać będą przynajmniej krótką informację o szczegółach określonych w lit. a), g), i) oraz l) Załącznika. Zbywca powinien też poinformować osoby zainteresowane, jak uzyskać dodatkowe informacje.

1. The Member States shall make provision in their legislation for measures to ensure that the vendor is required to provide any person requesting information on the immovable property or properties with a document which, in addition to a general description of the property or properties, shall provide at least brief and accurate information on the particulars referred to in points (a) to (g), (i) and (l) of the Annex and on how further information may be obtained.

2. Państwa Członkowskie ustanawiają przepisy w swoich ustawodawstwach gwarantujące, że wszystkie informacje określone w ust. 1 i które muszą zostać zawarte w dokumentach, określonych w ust. 1, stanowią integralną część umowy.

2. The Member States shall make provision in their legislation to ensure that all the information referred to in paragraph 1 which must be provided in the document referred to in paragraph 1 forms an integral part of the contract.

O ile strony nie postanowią inaczej, jedynie zmiany wynikające z okoliczności pozostających poza kontrolą zbywcy mogą być dokonane w informacji dostarczonej w dokumencie określonym w ust. 1.

Unless the parties expressly agree otherwise, only changes resulting from circumstances beyond the vendor's control may be made to the information provided in the document referred to in paragraph 1.

Wszelkie zmiany tej informacji przekazywane są nabywcy przed zawarciem umowy. Umowa wyraźnie wymienia wszelkie takie zmiany.

Any changes to that information shall be communicated to the purchaser before the contract is concluded. The contract shall expressly mention any such changes.

3. Reklama dotycząca danej nieruchomości wskazuje możliwość otrzymania dokumentu określonego w ust. 1 oraz sposób uzyskania takiego dokumentu.

3. Any advertising referring to the immovable property concerned shall indicate the possibility of obtaining the document referred to in paragraph 1 and where it may be obtained.

Artykuł 4

Państwa Członkowskie ustanawiają przepisy w swoich ustawodawstwach gwarantujące, że:

- umowa musi być zawarta na piśmie i zawierać co najmniej elementy zawarte w Załączniku;

The Member States shall make provision in their legislation to ensure that:

- umowę oraz dokument określone w art. 3 ust. 1 sporządza się w języku lub jednym z języków Państwa Członkowskiego, którego nabywca jest rezydentem, lub w języku bądź w jednym z języków Państwa Członkowskiego, którego nabywca jest obywatelem, a język ten musi być językiem urzędowym Wspólnoty, do wyboru nabywcy. Państwo Członkowskie, w którym nabywca ma niejsce zamieszkania, może jednak wymagać, aby umowa była sporządzona w każdym przypadku co najmniej w języku bądź językach tego Państwa Członkowskiego, a język ten lub języki muszą być urzędowymi Wspólnoty, i

- the contract, which shall be in writing, includes at least the items referred to in the Annex,

- zbywca dostarcza nabywcy uwierzytelnionego tłumaczenia umowy w języku lub w jednym z języków Państwa Członkowskiego, na którego terytorium znajduje się nieruchomość; język ten lub języki muszą być urzędowymi językami Wspólnoty.

- the contract and the document referred to in Article 3 (1) are drawn up in the language or one of the languages of Member State in which the purchaser is resident or in the language or one of the languages of the Member State of which he is national which shall be an official language or official languages of the Community, at the purchaser's option. The Member State in which the purchaser is resident may, however, require that the contract be drawn up in all cases in at least its language or languages which must be an official language or official languages of the Community, and - the vendor provides the purchaser with a certified translation of the contract in the language or one of the languages of the Member State in which the immovable property is situated which shall be an official language or official languages of the Community.

Państwa Członkowskie ustanawiają przepisy w swoich ustawodawstwach gwarantujące, że:

Article 5

1) w uzupełnieniu do możliwości unieważnienia umów przez nabywcę na mocy prawa krajowego nabywca ma prawo do:

The Member States shall make provision in their legislation to ensure that:

- odstąpienia od umowy bez podania przyczyny, w ciągu 10 dni kalendarzowych od podpisania przez strony umowy lub wiążącej umowy przedwstępnej. Jeżeli na dzień dziesiąty przypada święto państwowe, okres ten zostaje przedłużony na pierwszy dzień roboczy,

1. in addition to the possibilities available to the purchaser under national laws on the nullity of contracts, the purchaser shall have the right:

- jeżeli umowa nie zawiera informacji określonych w lit. a), b), c), lit. d) pkt 1, lit. d) pkt 2, lit. h), i), k), l) oraz m) Załącznika w chwili jej podpisania lub w chwili podpisania wiążącej umowy przedwstępnej, przez obie strony, nabywcy przysługuje prawo odstąpienia od umowy w terminie trzech miesięcy. Jeżeli informacje te zostaną dostarczone w ciągu trzech miesięcy, termin do wykonania prawa odstąpienia przez nabywcę, określony w tiret pierwszym, biegnie od dnia dostarczenia tych informacji,

- to withdraw without giving any reason within 10 calendar days of both parties' signing the contract or of both parties' signing a binding preliminary contract. If the 10th day is a public holiday, the period shall be extended to the first working day thereafter,

- jeżeli do końca okresu trzech miesięcy, przewidzianego w tiret drugim, nabywca nie wykona przysługującego mu prawa do odstąpienia od umowy, a umowa nadal nie zawiera informacji określonych w lit. a), b), c), lit. d) pkt 1, lit. d) pkt 2, lit. h), i), k), l) oraz m) Załącznika, nabywca ma prawo do odstąpienia od umowy, od dnia po upływie tego okresu trzech miesięcy, w okresie przewidzianym w tiret pierwszym;

- if the contract does not include the information referred to in points (a), (b), (c), (d) (1), (d) (2), (h), (i), (k), (l) and (m) of the Annex, at the time of both parties' signing the contract or of both parties' signing a binding preliminary contract, to cancel the contract within three months thereof. If the information in question is provided within those three months, the purchaser's withdrawal period provided for in the first indent, shall then start,

2) jeżeli nabywca ma zamiar skorzystać z praw przewidzianych w ust. 1, zawiadamia on, przed upływem odpowiedniego nieprzekraczalnego terminu w sposób możliwy do udowodnienia zgodnie z przepisami krajowymi, o tym osobę, której nazwisko i adres podane są w umowie, zgodnie z ustawodawstwem krajowym oraz procedurą określoną w umowie zgodnie z pkt I Załącznika; nieprzekraczalny termin uważa się za dotrzymany, jeżeli przed upływem tego terminu zostanie wysłane pisemne zawiadomienie;

- if by the end of the three-month period provided for in the second indent the purchaser has not exercised the right to cancel and the contract does not include the information referred to in points (a), (b), (c), (d) (1), (d) (2), (h), (i), (k), (l) and (m) of the Annex, to the withdrawal period provided for in the first indent from the day after the end of that three-month period;

3) jeśli nabywca korzysta z prawa przewidzianego w ust. 1 tiret pierwsze, można od niego w pewnych przypadkach wymagać zwrotu wydatków, które zgodnie z prawem krajowym zostały poniesione w związku z zawarciem lub odstąpieniem od umowy i które to wydatki związane są z formalnościami prawnymi, które muszą być dopełnione przed upływem terminu określonego w ust. 1 tiret pierwsze. Wydatki takie muszą być jednak wyraźnie wymienione w umowie;

2. if the purchaser intends to exercise the rights provided for in paragraph 1 he shall, before the expiry of the relevant deadline, notify the person whose name and address appear in the contract for that purpose by a means which can be proved in accordance with national law in accordance with the procedures specified in the contract pursuant to point (l) of the Annex. The deadline shall be deemed to have been observed if the notification, if it is in writing, is dispatched before the deadline expires;

4) jeśli nabywca korzysta z prawa odstąpienia od umowy, przewidzianego w ust. 1 tiret drugie, nie wymaga się od niego pokrycia żadnych kosztów.

3. where the purchaser exercises the right provided for in the first indent of paragraph 1, he may be required to defray, where appropriate, only those expenses which, in accordance with national law, are incurred as a result of the conclusion of and withdrawal from the contract and which correspond to legal formalities which must be completed before the end of the period referred to in the first indent of paragraph 1. Such expenses shall be expressly mentioned in the contract;

4. where the purchaser exercises the right of cancellation provided for in the second indent of paragraph 1 he shall not be required to make any defrayal.

Państwa Członkowskie ustanawiają przepisy w swoich ustawodawstwach zabraniające wpłacania przez nabywcę jakichkolwiek zaliczek przed upływem okresu, w którym może on skorzystać z prawa odstąpienia od umowy.

Artykuł 7

Article 6

Państwa Członkowskie ustanowią przepisy w swoich ustawodawstwach zapewniające, że:

The Member States shall make provision in their legislation to prohibit any advance payments by a purchaser before the end of the period during which he may exercise the right of withdrawal.

- jeżeli cena jest częściowo lub całkowicie finansowana za pomocą kredytu udzielonego przez zbywcę, lub

- jeżeli cena jest częściowo lub całkowicie finansowana za pomocą kredytu udzielonego nabywcy przez osobę trzecią na podstawie umowy między osobą trzecią i zbywcą,

Article 7

umowę kredytową rozwiązuje się bez obowiązku uiszczenia jakiejkolwiek kary, jeżeli nabywcy przysługuje prawo do odstąpienia od umowy zgodnie z art. 5.

The Member States shall make provision in their legislation to ensure that:

Państwa Członkowskie ustanowią szczegółowe uzgodnienia dotyczące rozwiązywania umów kredytowych.

- if the price is fully or partly covered by credit granted by the vendor, or - if the price is fully or partly covered by credit granted to the purchaser by a third party on the basis of an agreement between the third party and the vendor,

Artykuł 8

the credit agreement shall be cancelled, without any penalty, if the purchaser exercises his right to cancel or withdraw from the contract as provided for in Article 5.

Państwa Członkowskie ustanawiają przepisy w swoich ustawodawstwach zapewniające, że jakakolwiek klauzula, na podstawie której nabywca zrzeka się praw przysługujących mu na mocy niniejszej dyrektywy lub na podstawie której zbywca zostaje zwolniony ze zobowiązań wynikających z niniejszej dyrektywy, nie będą dla nabywcy wiążące, na warunkach ustanowionych w prawie krajowym.

The Member States shall lay down detailed arrangements to govern the cancellation of credit agreements.

Artykuł 9

Państwa Członkowskie podejmują środki niezbędne w celu zapewnienia, iż niezależnie od zastosowanych przepisów prawnych nabywca nie jest pozbawiony ochrony przyznanej mu niniejszą dyrektywą, jeżeli dana nieruchomość znajduje się na terytorium Państwa Członkowskiego.

Article 8

Artykuł 10

The Member States shall make provision in their legislation to ensure that any clause whereby a purchaser renounces the enjoyment of rights under this Directive or whereby a vendor is freed from the responsibilities arising from this Directive shall not be binding on the purchaser, under conditions laid down by national law.

Państwa Członkowskie ustanawiają przepisy w swoich ustawodawstwach na wypadek niezgodności z niniejszą dyrektywą.

Artykuł 11

Article 9

Niniejsza dyrektywa nie stanowi przeszkody dla Państw Członkowskich do przyjęcia lub utrzymania w mocy przepisów korzystniejszych dla ochrony nabywców w obszarze, o którym mowa, bez uszczerbku dla zobowiązań wynikających z Traktatu.

The Member States shall take the measures necessary to ensure that, whatever the law applicable may be, the purchaser is not deprived of the protection afforded by this Directive, if the immovable property concerned is situated within the territory of a Member State.

Artykuł 12

1. Państwa Członkowskie wprowadzają w życie przepisy ustawowe, wykonawcze i administracyjne niezbędne do wykonania niniejszej dyrektywy, nie później niż w ciągu 30 miesięcy od daty jej opublikowania w Dzienniku Urzędowym Wspólnot Europejskich i niezwłocznie informują o tym Komisję.

Article 10

Przepisy przyjęte przez Państwa Członkowskie zawierają odniesienie do niniejszej dyrektywy lub odniesienie takie towarzyszy ich urzędowej publikacji. Państwa Członkowskie określają sposób dokonania takich odniesień.

The Member States shall make provision in their legislation for the consequences of non-compliance with this Directive.

2. Państwa Członkowskie przekazują Komisji teksty podstawowych przepisów prawa krajowego przyjętych w dziedzinie objętej niniejszą dyrektywą.

Artykuł 13

Article 11

Niniejsza dyrektywa skierowana jest do Państw Członkowskich.

This Directive shall not prevent Member States from adopting or maintaining provisions which are more favourable as regards the protection of purchasers in the field in question, without prejudice to their obligations under the Treaty.

Article 12

1. Member States shall bring into force the laws, regulations and administrative provisions necessary for them to comply with this Directive no later than 30 months after its publication in the Official Journal of the European Communities. They shall immediately inform the Commission thereof.

When Member States adopt those measures, they shall include references to this Directive or shall accompany them with such references on their official publication. The Member States shall lay down the manner in which such references shall be made.

Wykaz minimum elementów składowych, określonych w art. 4, które muszą być zawarte w umowie

a) Dane osobowe i adresy stron wraz z dokładną informacją na temat statusu prawnego zbywcy w czasie podpisania umowy oraz dane osobowe i adres właściciela.

Minimum list of items to be included in the contract referred to in Article 4

b) Dokładny charakter prawa, które jest przedmiotem umowy, oraz zasady regulujące szczegółowo warunki wykonania tego prawa na terytorium Państwa lub Państw Członkowskich, na którym znajduje się dana nieruchomość, oraz czy te warunki zostały spełnione, a jeżeli nie, to które z nich powinny jeszcze zostać spełnione.

(a) The identities and domiciles of the parties, including specific information on the vendor's legal status at the time of the conclusion of the contract and the identity and domicile of the owner.

c) Jeśli nieruchomość jest ustalona, dokładny opis określonej nieruchomości oraz jej położenia.

(b) The exact nature of the right which is the subject of the contract and a clause setting out the conditions governing the exercise of that right within the territory of the Member State(s) in which the property or properties concerned relates is or are situated and if those conditions have been fulfilled or, if they have not, what conditions remain to be fulfilled.

d) Jeżeli nieruchomość jest w budowie, należy określić:

(c) When the property has been determined, an accurate description of that property and its location.

3) w przypadku jakiejś specyficznej nieruchomości należy podać numer zezwolenia budowlanego oraz nazwę(-y) i pełny adres(-y) właściwych organów nadzorujących;

(2) a reasonable estimate of the deadline for completion of the immovable property;

4) zaawansowanie prac wykończeniowych nieruchomości pozwalające na jej pełną eksploatację (instalacja elektryczna, wodociągowa, gazowa oraz telefoniczna);

(3) where it concerns a specific immovable property, the number of the building permit and the name(s) and full address(es) of the competent authority or authorities;

5) gwarancje dotyczące prac wykończeniowych nieruchomości lub gwarancje dotyczące zwrotu jakiejkolwiek wpłaconej kwoty, jeżeli nieruchomość nie została wykończona, i jeśli sytuacja tego wymaga, zasady regulujące działanie takich gwarancji.

(4) the state of completion of the services rendering the immovable property fully operational (gas, electricity, water and telephone connections);

e) Usługi (oświetlenie, woda, konserwacja, wywóz śmieci), do których nabywca ma lub będzie miał dostęp, oraz warunki, na jakich będzie się to odbywać.

(5) a guarantee regarding completion of the immovable property or a guarantee regarding reimbursement of any payment made if the property is not completed and, where appropriate, the conditions governing the operation of those guarantees.

f) Urządzenia wspólne, np. basen, sauna, do których nabywca ma lub będzie miał dostęp, oraz, w odpowiednim przypadku, warunki, na jakich będzie się to odbywać.

(e) The services (lighting, water, maintenance, refuse collection) to which the purchaser has or will have access and on what conditions.

g) Zasady organizacji utrzymania i konserwacji nieruchomości oraz warunki administrowania i zarządzania nieruchomością.

(f) The common facilities, such as swimming pool, sauna, etc., to which the purchaser has or may have access, and, where appropriate, on what conditions.

h) Dokładny okres korzystania z prawa będącego przedmiotem umowy oraz, jeśli to konieczne, czas trwania umowy; dokładną datę, od której nabywca jest uprawniony do korzystania z przysługującego mu prawa.

(g) The principles on the basis of which the maintenance of and repairs to the immovable property and its administration and management will be arranged.

i) Cena, jaką nabywca będzie płacił za korzystanie z praw przysługujących mu na mocy umowy, przybliżone koszty użytkowania urządzeń, korzystania z usług, podstawę obliczania opłat odnoszących się do korzystania z nieruchomości, obowiązkowe, ustawowe opłaty (np. podatki, należności) i ogólne koszty administracyjne (np. zarządzanie, konserwacja nieruchomości, naprawy).

(h) The exact period within which the right which is the subject of the contract may be exercised and, if necessary, its duration; the date on which the purchaser may start to exercise the contractual right.

j) Klauzulę stwierdzającą, że nabycie prawa nie będzie wiązało się z innymi kosztami, opłatami i zobowiązaniami niż te, które zostały wyszczególnione w umowie.

(i) The price to be paid by the purchaser to excercise the contractual right; an estimate of the amount to be paid by the purchaser for the use of common facilities and services; the basis for the calculation of the amount of charges relating to occupation of the property, the mandatory statutory charges (for example, taxes and fees) and the administrative overheads (for example, management, maintenance and repairs).

k) Zapis określający, czy istnieje możliwość zamiany lub zbycia praw wynikających z umowy; jakie są koszty związane z zamianą lub zbyciem tych praw, ponoszone przez zbywcę lub osobę trzecią, określoną przez niego w umowie.

(j) A clause stating that acquisition will not result in costs, charges or obligations other than those specified in the contract.

l) Informacje o prawie do unieważnienia umowy lub odstąpienia od umowy, określające osobę, do której należy kierować zawiadomienie o unieważnieniu lub odstąpieniu od umowy wyszczególniające również warunki zawiadomienia, koszty, jakie nabywca będzie musiał ponieść na podstawie art. 5 ust. 3, jeżeli skorzysta z prawa odstąpienia od umowy; w odpowiednim przypadku można zamieścić także informacje na temat rozwiązania umowy kredytowej, związanej z umową, w razie odstąpienia od tej umowy lub jej unieważnienia.

(k) Whether or not is is possible to join a scheme for the exchange or resale of the contractual rights, and any costs involved should an exchange and/or resale scheme be organized by the vendor or by a third party designated by him in the contract.

m) Datę i miejsce podpisania umowy przez każdą ze stron.

(l) Information on the right to cancel or withdraw from the contract and indication of the person to whom any letter of cancellation or withdrawal should be sent, specifying also the arrangements under which such letters may be sent; precise indication of the nature and amount of the costs which the purchaser will be required to defray pursuant to Article 5 (3) if he exercises his right to withdraw; where appropriate, information on the arrangements for the cancellation of the credit agreement linked to the contract in the event of cancellation of the contract or withdrawal from it.
